The Governing Council is the highest governing body of Sant Pau Research Institute. Its main function is to oversee and monitor the purpose of the creation agreement of Sant Pau Research Institute. It is formed by all the entities that make up Sant Pau Research Institute.

- Review the annual operational programs and annual activity reports of the Institute.
- Study the budgets, financial statements and other mandatory reports.
- Evaluate the execution and operability of the Institute's activities.
- Annually review the integration mechanisms of the different entities that make up the Institute.
- Carry out the review of the management system, activities and results.
- Approve improvement actions proposed by the Health Research Institute.
- Be informed of the evaluation of groups or researchers from associated entities.

The governing body of Sant Pau Research Institute appoints an External Scientific Committee that oversees the scientific quality of the Institute and advises the director of the Institute, who serves as its secretary, in the performance of their duties.
The External Scientific Committee is informed of the proposed Strategic Research Plan, prior to its approval by the Delegated Commission, as well as the proposed appointment of members of the Internal Scientific Committee. It is also informed about the annual activity report and makes recommendations on the policy for recruitment and management of different resources.
Members of the External Scientific Committee are appointed by the highest governing body for a term of four years, renewable indefinitely for equal periods of time.
The rules for convening, constituting and adopting resolutions are determined in the internal regulations.

The Internal Scientific Committee is responsible for promoting and coordinating the scientific activity of the Institute.
To fulfill its mission, it exercises the following functions:- Develop and propose the Institute's Strategic Research Plan and its activity report.
- Develop the criteria for awarding scholarships and research grants and propose them to the highest governing body.
- Ensure that the research carried out at the Institute adheres to the general ethical principles that should inspire it.
The Internal Scientific Committee is composed of the following members:
- President: the Scientific Director of the Institute.
- Vice President: the President of the Drug Research Ethics Committee of Hospital de la Santa Creu i Sant Pau.
Members:
- Four members appointed by the director of Sant Pau Research Institute.
- Two members for each Thematic Area in which Sant Pau Research Institute is structured.
- Two members for the groups associated with Sant Pau Research Institute.
The External Scientific Committee must validate the members of the Internal Scientific Committee and, ultimately, the governing body will appoint them, if appropriate. The president must designate their secretary from among its members.
